Apache 1.3.20 is avaliable for windows. So download that and install PHP for that. This is the configuration I use when I'm on my windows 2000 machine. APache + php works great and is a lot better than IIS.
If it doesn't work under apache+php either, then you've got a problem with your mysql server or something else in the system that is causing some kind of system panic or forced shutdown.
Also, run eventvwr to see if the system logger has logged any error messages regarding this issue.
