eregi_replace advanced prbl ??

I have two sort of replace

in

<img src="..."> it's ok

but i want to replace

http://www.etc...

in

<a href="http://www.etc...">

and here is the problem

how can I exclude in my replacement, the "[img]" at the beginning ??
