how to make a site count hits, like a top 10 site using in.php and out.php

Hi, im trying to make a site that is top 10 sites, Ive seen these all around and they usually use in.php and out.php. in.php is used when you clikc a link from another site to the main site, and out.php is used when you are on the main site and click on a link. I'm fairly new to this, can someone stir me into the right direction?
