Renaming all .jog files in a folder

I want to rename all the .jpg files in a folder 1.jpg 2.jpg 3.jpg ect ect how would i do this...

a few helping hints,
1/ the file will be in the same fodler as the images
2/ all other files will be .jpg except this .php file

can anyone help
